NEW YORK, April 04, 2016 -- New York Mortgage Trust, Inc. (Nasdaq:NYMT) (the "Company") announced today that it has priced a $282.8 million securitization transaction. The transaction involves the issuance and sale of $177.5 million of Class A Notes that represent beneficial ownership of a pool of performing and re-performing seasoned mortgage loans. The Company will retain $25.5 million of Class M Notes and a $79.8 million equity Certificate. The Company will hold 5% of the Class A Notes issued, which will result in gross proceeds to the Company from the sale of the remaining Class A Notes of approximately $167.7 million. The Class A Notes have an expected redemption date of March 25, 2019, with a stated final maturity date of March 25, 2021. The Class A Notes have a stated interest rate of 4.00% and were sold at a yield of 4.25%. The deal is expected to close, subject to the satisfaction of customary closing conditions, on April 15, 2016.
The notes will not be registered under the Securities Act of 1933, as amended, and may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements. The notes will be offered and sold in the United States in accordance with Rule 144A.
